The property is performing well; the capital structure is the problem. Buyers who can acquire at a basis where current NOI covers debt service at today's rates step into a cash-flowing asset from day one.

A clean exit at a modest loss is far better than an extended wind-down litigation with LP investors. Sponsors who have a buyer in hand and a defined close date will accept prices that don't cover their LP basis in order to avoid the worst-case scenario.
